Terms and conditions
Scope of application
These general terms and conditions apply to all business relationships between Stanley Kunz Pazer, trading under the business names Kunz Global and Kunz Sourcing (hereinafter: Seller) and commercial customers (hereinafter: Buyer) initiated via kunzsourcing.com or in connection with it. Transactions are exclusively B2B; private consumers are excluded.
§1 Conclusion of contract
The presentation of products, specifications and processes on this website does not constitute a legally binding offer. By submitting a sourcing request via the form, by e-mail or by WhatsApp, the Buyer expresses a non-binding interest.
A contract is concluded only by written order confirmation or by an individual quotation accepted by both parties in writing. Product specification, quantity, price, currency, delivery term, payment schedule and lead time are governed by that document.
§2 Prices and payment
Prices, currency, minimum quantities and validity are stated in the individual quotation. Wool and other agricultural raw materials are priced per operation according to the market at the time of the quotation; prices are not published on this website.
Payment method, deposit, balance and due dates are governed by the quotation or order confirmation. Unless otherwise agreed there, the agreed amount is due in full before shipment.
§3 Delivery and transfer of risk
Shipments are handled according to the transport method, route and delivery term agreed in writing. Transit times are estimates unless expressly guaranteed. Costs, transfer of risk and responsibilities are governed by the Incoterms® rule and version stated in the quotation (for example FOB Montevideo).
§4 Import duties and customs clearance
The Buyer is responsible as importer for customs clearance in the destination country and for the payment of any import VAT, customs duties or other charges arising there. DDP is not agreed unless expressly confirmed in writing.
§5 Specifications, certificates and samples
Specifications are agreed per lot and documented by the certificates named in the quotation (for example the mill's quality certificate or an IWTO test certificate). Samples are subject to availability; a sample represents the quality identified in the relevant quotation, and natural or lot-related variation may occur within the agreed specification.
§6 Warranty
The Buyer shall inspect the goods within a reasonable period after receipt and promptly notify the Seller in writing of any apparent deviation. The agreed product specification, the order confirmation and mandatory applicable law shall govern.
§7 Liability
Liability is governed by the individual agreement and mandatory applicable law. No limitation applies to intent, gross negligence, injury to life, body or health, or where liability may not legally be excluded.
§8 Applicable law and jurisdiction
The law of the Oriental Republic of Uruguay applies unless mandatory statutory provisions provide otherwise. Jurisdiction or an alternative dispute-resolution procedure is agreed in the specific quotation or order confirmation.
§9 Severability
Should individual provisions of these terms be or become wholly or partially invalid, the contract shall otherwise remain valid. The invalid provision shall be replaced by a valid provision that comes closest to its economic purpose.
